Purpose

Purpose

These terms govern the relationship between Jose Galindo and clients engaging his professional consulting services, described at services.josegalindo.net and detailed, case by case, in a specific proposal.

Engagement

How engagements work

Each service is provided under a specific and confidential commercial and technical proposal, tailored to each Client, which will define the project's scope, deliverables, duration, fees, and specific conditions. In the event of any discrepancy, the terms stipulated in the signed proposal shall prevail over these general terms.

Fees

Fees and payment

Unless the signed proposal states otherwise, fees are paid by bank transfer in two instalments: 50% as a retainer on acceptance of the proposal, and the remaining 50% on final delivery of the service. Invoices are due within 15 days of issue. Amounts shown do not include applicable VAT or Spanish personal income tax withholding (IRPF), which are itemised on the corresponding invoice in accordance with current regulations.

Cancellation

Cancellation and rescheduling

If the Client cancels the project before it starts, the retainer already paid is non-refundable, as compensation for reserved availability. If cancellation or rescheduling occurs after the service has started, the Client will be invoiced for work actually performed and expenses incurred up to the notification date. Jose Galindo reserves the right to suspend the service in case of non-payment within the agreed terms.

Confidentiality

Confidentiality

Both parties agree to keep strictly confidential any technical, commercial or financial information, data or documentation shared in connection with the service. This obligation remains in force for the duration of the service and for 3 years after its completion. This obligation does not cover information that is publicly available or whose disclosure is required by law or court order.

Ownership

Ownership of deliverables

Once fees have been paid in full, the Client acquires usage rights over the final deliverables (reports, plans, documentation) created specifically for them. However, Jose Galindo retains the intellectual property over the methodologies, frameworks, pre-existing code, templates and know-how used or contributed during the service, and may use them freely in other projects. Unless a confidentiality agreement (NDA) states otherwise, Jose Galindo may mention the Client's name and a general description of the project as a commercial reference.

Liability

Liability

Services are provided with the professional diligence standard in the sector. Jose Galindo does not guarantee a specific business outcome from his recommendations; liability, where applicable, is limited to the fees actually received for that service, except in cases of wilful misconduct or gross negligence.

Changes

Jose Galindo may update these terms; changes are published on this page with their date. The proposal in force at the time a specific service is engaged is not affected by later changes.
